The undersigned expressly agrees to make payment in full to ELIJAH TOOLING, INC. invoice(s). Applicant acknowledges that all accounts over ten (10) days old may be assessed a service charge at the maximum rate permitted by law. The undersigned agrees to pay a reasonable attorney’s fee and all other costs and expenses incurred by Elijah Tooling, Inc. in the collection of any obligation of the undersigned pursuant hereto. This application for credit, once accepted by Elijah Tooling, Inc., shall become part of every invoice to applicant and is incorporated herein. This application shall remain the property of Elijah Tooling, Inc. whether or not it is accepted and approved. By indicating ‘I agree’ and typing my name below, this designates that my electronic signature is the legally binding equivalent to my handwritten signature.

CREDIT POLICY OF ELIJAH TOOLING, INC.

To be of service to our customers and to provide the best possible pricing, our credit policies are outlined below:

To be of service to our Customers and to provide the best possible pricing, our credit policies are outlined below: 1. OUR TERMS ARE NET 10 a. Terms are issued based upon acceptable trade experiences with vendors, along with a reputable standing on your company’s Dun & Bradstreet report. If we cannot obtain a Dun & Bradstreet report of your company, it is very unlikely that credit terms will be offered. 2. WE OFFER DISCOUNT PRICING FOR CASH PURCHASES a. For your convenience, a 5% discount of the product price will be applied to all orders paid using credit card, cash, check, or ACH/wire transfer. b. Payment is due in full prior to shipment; we will not ship your order until payment has been received. c. We serve many customers, and thus cannot act as the “bank” for our clients, so please arrange for outside financing if necessary. 3. AMOUNTS OUTSTANDING OVER NET TERMS ARE CONSIDERED PAST DUE a. If payment is not received within 35 days of invoice date, the account will be placed in a “hold” status. b. While under “hold” status, all shipments are suspended and the account comes under review. c. When the account balance is brought current, shipments will resume. 4. CONSISTENT ACTION OF NON-PAYMENT WILL PLACE THE OPEN ACCOUNT UNDER REVIEW a. If the account is routinely past due on balances owed, changes regarding the account status will be made accordingly. b. Elijah Tooling, Inc. reserves the right to regularly review the payment history on all accounts. c. Any changes made to an accounts status will be communicated with the customer; these changes may include the entering, processing, and shipping of orders. d. All necessary changes involving account status are made at the discretion of the credit department. 5. RETURNED PAYMENTS CAN ONLY BE REPLACED WITH VERIFIED FUNDS a. If a payment is returned protested by the payers bank (NSF), the protested check must be replaced by verifiable means; for example, cashier’s check, money order, or credit card. b. An additional $50 NSF fee will be added to any invoice for which payment was returned protested. c. Replacement funds shall be received no later than 5 days of notification, and any account having an outstanding NSF payment will be placed under a hold status until verified funds are received, and cleared. d. An account having a record of (2) two NSF payments will be permanently placed on a cash-only basis, requiring all future payments to be in the form of cashier’s check, money order, or credit card. 6. IN THE EVENT OF A CUSTOMER BANKRUPTCY a. Elijah Tooling, Inc. reserves the right to place a past due account with an attorney or outside collection agency. b. The customer agrees to pay all costs associated with the collection of the debt; including, but not limited to, filing fees, attorney fees, court costs, etc. c. Upon the fulfillment of the total obligation, the account may reviewed by the credit department and possibly reopened solely on a C.O.D. (cash on delivery) or C.I.A. (cash in advance) basis. d. Elijah Tooling, Inc. expects to be paid in full for any outstanding balance. e. Any subsequent owner, whether operating under the previous company name or a separate entity, will be required to bring the account current prior to further shipments. 7. CREDIT TERMS FOR FOREIGN BASED COMPANIES a. Cost of product will be higher to accommodate the associated risk of international business. b. We suggest for best pricing, our foreign based customers take advantage of the discount available upon credit card, cash, or ACH/wire purchase. Please contact our Accounts Receivable department for further information. INDEMNIFICATION: CUSTOMERS AND INDIVIDUALS SIGNING ON BEHALF OF CUSTOMERS AGREE TO JOINTLY AND SEVERALLY INDEMNIFY, DEFEND, AND HOLD HARMLESS ELIJAH TOOLING, INC., JANNY SAKERI LLC., AFFILIATES, RESPECTIVE OFFICERS, DIRECTORS, AND EMPLOYEES FROM AND AGAINST ANY AND ALL CLAIMS, LIABILITY, LOSS, DAMAGE, OR EXPENSE ARISING FROM OR BY REASON OF AN INJURY OR DEATH CAUSED BY THE USE, SALE, TRANSFER, OR ALTERATION OF THE PRODUCTS AND SERVICES FURNISHED HEREUNDER, ANY DAMAGE TO OR THE DESTRUCTION OF ANY PROPERTY OR INJURY TO ANY PERSON OR PERSONS CAUSED BY ANY ACT OR OMISSION, WHERE NEGLIGENT OR OTHERWISE, TO CUSTOMER OR ANY EMPLOYEE OF AGENT OF CUSTOMER.
